TERMS OF USE
Welcome to HashKey Wallet! These Terms of Use (“Terms”) are a legal agreement between you (“you” or “User”) and HashKey Hub Limited (“HashKey Wallet”, “we”, “us”, or “our”). These Terms govern your access to and use of our website, mobile application, the self-custodial wallet module embedded within the HashKey Global App (the “App”), and other products or services we make available (collectively, the “Services”).
By accessing or using the Services—including visiting our website, accessing the Wallet module within the App, or creating/importing a digital wallet—you confirm that:
1. You have read, understood, and accepted these Terms;
2. You are legally eligible to enter into a binding agreement; and
3. You have the authority to accept these Terms on behalf of yourself or any entity you represent.
IMPORTANT REGULATORY NOTICE: SEPARATION FROM REGULATED EXCHANGE SERVICES. You acknowledge and agree that HashKey Wallet operates entirely independently of the regulated digital asset exchange services provided by other HashKey Group entities. This self-custodial product sits outside the scope of those exchange licenses. We provide a software solution only and do not provide licensed custody, brokerage, or exchange services under this Agreement.
HashKey Wallet may modify this Agreement at any time at its sole discretion. Updated versions of the Terms of Use will be made available via the Services, along with the "Last Updated" date. Changes will take effect immediately for new users, and thirty (30) days after notice is posted for existing users. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
If you do not agree to these Terms, you may not use the Services.
YOU ACKNOWLEDGE AND AGREE THAT:
• NO FINANCIAL OR INVESTMENT ADVICE. ANY CONTENT, NEWS, TOKEN INFORMATION, CHARTS, OR TRENDS PROVIDED VIA THE SERVICES IS FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. HASHKEY WALLET DOES NOT PROVIDE INVESTMENT, FINANCIAL, OR LEGAL ADVICE, AND NOTHING PRESENTED THROUGH THE SERVICES SHALL BE CONSTRUED AS A RECOMMENDATION TO BUY, SELL, OR HOLD ANY DIGITAL ASSET.
• PLATFORM NEUTRALITY. HASHKEY WALLET IS NOT A BROKER, EXCHANGE, CUSTODIAN, FINANCIAL ADVISOR, OR FIDUCIARY. WE DO NOT CUSTODY OR CONTROL ANY DIGITAL ASSETS, AND WE CANNOT INITIATE TRANSACTIONS ON YOUR BEHALF. ALL TRANSACTIONS MUST BE INITIATED AND AUTHORIZED BY YOU THROUGH YOUR WALLET.
• NO GUARANTEE OF VALUE. DIGITAL ASSETS ARE HIGHLY VOLATILE AND MAY EXPERIENCE RAPID PRICE CHANGES. YOU ACKNOWLEDGE AND AGREE THAT ANY BALANCE DISPLAYED ON THE SERVICES REFLECTS THE CURRENT ESTIMATED VALUE OF THE CORRESPONDING DIGITAL ASSET AT THE TIME OF ACCESS, AND THAT SUCH BALANCE DOES NOT CONSTITUTE A GUARANTEE OF STABLE VALUE, PURCHASING POWER, OR FIAT EQUIVALENCE.
• THIRD-PARTY PROJECTS AND PROTOCOLS. HASHKEY WALLET IS NOT AFFILIATED WITH ANY THIRD-PARTY BLOCKCHAINS, PROTOCOLS, OR TOKEN PROJECTS REFERENCED IN THE SERVICES. WE DO NOT HOST, MAINTAIN, OR OPERATE SUCH PLATFORMS, AND YOUR INTERACTIONS WITH THEM ARE ENTIRELY AT YOUR OWN DISCRETION AND RISK.
• DATA DISCLAIMER. THE SERVICES MAY DISPLAY DATA SOURCED FROM THIRD-PARTY APIS, PUBLIC BLOCKCHAINS, OR OTHER EXTERNAL PROVIDERS. HASHKEY WALLET DOES NOT VERIFY THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THIS INFORMATION, AND WE MAKE NO WARRANTIES ABOUT THE INTEGRITY OR FITNESS OF SUCH DATA FOR ANY PURPOSE. USE OF THIS DATA IS AT YOUR SOLE RISK.
• USER-INITIATED TRANSACTIONS. HASHKEY WALLET IS NOT CAPABLE OF PERFORMING TRANSACTIONS OR SENDING MESSAGES ON YOUR BEHALF. ALL TRANSACTIONS ARE DRAFTED AND SUBMITTED BY YOU, USING YOUR WALLET AND PRIVATE KEY, AND COMPLETED VIA THIRD-PARTY SERVICES.
• SENSITIVE UI DISCLAIMER. CERTAIN FEATURES IN THE APP (E.G., SWIPING) MAY TRIGGER IRREVERSIBLE BLOCKCHAIN TRANSACTIONS. PLEASE CAREFULLY REVIEW ALL TRANSACTION PROMPTS BEFORE CONFIRMING. HASHKEY WALLET IS NOT RESPONSIBLE FOR UNINTENDED ACTIONS RESULTING FROM YOUR USE OF INTERFACE SHORTCUTS.
IMPORTANT NOTICES:
- PLEASE BE AWARE THAT BY USING OUR SERVICES, YOU CONSENT TO RECEIVE CERTAIN COMMUNICATIONS FROM HASHKEY WALLET. FOR DETAILS, SEE SECTION 12.
- SECTION 11 OF THESE TERMS INCLUDES IMPORTANT PROVISIONS RELATING TO DISPUTE RESOLUTION, INCLUDING A BINDING ARBITRATION CLAUSE AND WAIVER OF COLLECTIVE LEGAL ACTIONS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT DISPUTES BETWEEN YOU AND HASHKEY WALLET WILL BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN THROUGH COURT PROCEEDINGS OR CLASS ACTIONS.
- IF YOU DO NOT AGREE WITH THESE TERMS, OR IF YOU WISH TO OPT OUT OF ARBITRATION (WHERE LEGALLY PERMITTED), PLEASE REFER TO SECTION 11 FOR INSTRUCTIONS ON YOUR RIGHTS AND HOW TO EXERCISE THEM.
- CERTAIN FEATURES OR SERVICES OFFERED WITHIN HASHKEY WALLET MAY BE SUBJECT TO ADDITIONAL TERMS AND CONDITIONS (“SUPPLEMENTAL TERMS”), WHICH WILL EITHER BE INCORPORATED INTO THESE TERMS OR SEPARATELY PRESENTED TO YOU FOR ACCEPTANCE BEFORE USE. IN THE EVENT OF ANY CONFLICT BETWEEN THESE TERMS AND THE APPLICABLE SUPPLEMENTAL TERMS, THE LATTER WILL GOVERN WITH RESPECT TO YOUR USE OF THE RELEVANT FEATURE OR SERVICE.
• USE OF THE SERVICES
Description of Service. HashKey Wallet provides access to a proprietary App platform that allows users to create or import non-custodial Wallets, view and organize Digital Asset data, access third-party decentralized applications (DApps) via a built-in browser, and draft transaction messages to interact with blockchain protocols. Some Digital Assets may be displayed using proprietary algorithms and labeled as “trending,” “verified,” or similar; these labels are not investment recommendations. The services are for informational and entertainment purposes only. You use the services at your own risk.
To access certain features of the Services, you may be required to:
• Create or import a locally-generated, non-custodial wallet (“Wallet”);
• Maintain an account with an applicable app store (e.g., Apple App Store or Google Play) if accessing via mobile.
User Asset Information. Users may use the Services to (i) aggregate public blockchain data associated with their Wallets (“User Assets”), and (ii) generate unsigned transaction messages.
The Services may visualize User Assets with charts, allocations, and estimated rewards (“User Asset Information”), most of which are sourced from third-party services. HashKey Wallet does not guarantee the accuracy of any User Asset Information and disclaims liability for any reliance thereon. To avoid any doubt: HashKey Wallet does not create, issue, endorse, promote, or control any Digital Assets. We provide access to data and tools that may relate to various third-party Digital Assets, but we do not operate or guarantee any of them. You access, interact with, and rely on any Digital Assets or related information entirely at your own risk.
Transaction and Wallet. The Services help you draft transaction messages based on your inputs. Execution must be completed manually via your Wallet.
To use core functionalities of the Services, you must create or import a Wallet. HashKey Wallet:
• Cannot access, restore, control or manage your private keys and/or your Wallet;
• Has no liability if your Wallet becomes inaccessible;
• Does not perform or authorize transactions;
• Is not your agent or intermediary;
• Disclaims liability for all third-party protocol interactions.
If enabled and with your consent, HashKey Wallet may help transmit your Private Key to cloud storage (e.g., iCloud or Google Drive). This is optional. HashKey Wallet does not store, decrypt, or access your Private Key.
Staking and Rewards Disclaimer. Some protocols may offer staking or yield rewards (“Staking Rewards”). HashKey Wallet:
• Does not issue or manage any such rewards;
• Makes no guarantees that rewards will be received;
• Has no responsibility for facilitating or securing them.
License to Use the Services. Subject to your compliance, HashKey Wallet grants you a limited, non-exclusive, revocable license to use the Services for personal or internal business use. All rights not explicitly granted are reserved by HashKey Wallet.
License to Use the App. You may download and use the App on supported devices as permitted by applicable app store terms. You may not reverse engineer, sublicense, or tamper with the App.
Compatibility and Availability Risks. Not all assets or protocols are compatible with the Services. Compatibility may change at any time, and HashKey Wallet makes no guarantees about continued integration or performance.
• YOUR RESPONSIBILITIES
Your Responsibility for the Services. you represent, warrant, and agree as follows:
• Legal Eligibility. You are at least eighteen (18) years old, of legal age to form a binding contract, and not prohibited from using the Services under any applicable laws, including those of your country of residence. If you are using the Services on behalf of an organization, including a DAO (whether or not formally incorporated), you have the legal authority to bind that entity to this Agreement.
• Sanctions and Restricted Parties. You represent and warrant that you are not a citizen, resident, or physically located in Mainland China, Hong Kong SAR, the United States, or any OFAC-sanctioned jurisdictions (e.g., Iran, North Korea, Syria, Cuba, Crimea). Neither you, nor any entity or individual on whose behalf you are acting, is (i) listed on any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC) or otherwise subject to sanctions or restrictions; or (ii) a senior foreign political figure or related associate. You agree to promptly notify HashKey Wallet if you become subject to any sanctions, investigations, or legal actions relating to your use of digital assets or blockchain technologies. We employ technical measures, including IP geolocation blocking and VPN detection, to restrict access from prohibited jurisdictions. Any attempt to circumvent these restrictions is a material breach of this Agreement.
• Compliance with Laws. You are in full compliance with all applicable laws related to your use of blockchain technologies and Digital Assets, including anti-money laundering (AML), counter-terrorist financing (CTF), and tax regulations. To your knowledge, no legal or regulatory investigations are pending or threatened against you.
• Technical Requirements. You are solely responsible for providing and maintaining all hardware, software, and internet connections necessary to access the Services. HashKey Wallet is not responsible for any unauthorized transactions initiated from your device, nor any losses due to device vulnerabilities, compromised systems, or third-party software failures.
Your Responsibility for User Assets. By using the Services, you represent and warrant that:
• You lawfully control the Wallets you create or import;
• All assets used are obtained in compliance with applicable law;
• Your assets are not mixed, tumbled, or otherwise obfuscated.
HashKey Wallet may restrict your access if it reasonably suspects illicit activity.
Your responsibility for the Content. You acknowledge and agree that all content available through the Services — including text, images, data, code, feedback, and other materials (“User Content” or “Your Content”) — is the sole responsibility of the party from whom such Content originated. This means that you, and not HashKey Wallet, are fully responsible for any User Content that you upload, submit, or otherwise make available via the Services. You represent and warrant that you have all rights and permissions necessary to share such User Content and to grant the licenses outlined in Section 3.
• OWNERSHIP AND INTELLECTUAL PROPERTY
Our Services. Except for any open-source software (“OSS”), your Wallet, and your own User Content, all rights, title, and interest in and to the Services (including the App, and any underlying code, design, or functionality) are and shall remain the exclusive property of HashKey Wallet and its licensors. You may not copy, modify, distribute, or create derivative works of any part of the Services without our prior written consent. You also agree not to remove or obscure any copyright, trademark, or other proprietary notices.
Trademarks. All HashKey Wallet names, logos, trademarks, and branding used in connection with the Services are our intellectual property and may not be used without permission. Other third-party marks that appear in the Services are owned by their respective holders.
Open-Source Components. The Services may include or link to OSS components, each governed by its own license. You agree to comply with the applicable license terms for such OSS. Nothing in this Agreement overrides your rights under those licenses. If required, we will provide access to the source code and modifications upon request.
Your Content. You retain ownership of any content you submit, post, or otherwise make available through the Services. By doing so, you represent and warrant that you have all rights necessary to grant us the license described below.
You grant HashKey Wallet a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and fully sublicensable license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media or format, now known or developed in the future. This includes, without limitation, the right to use your User Content for analytics, promotional purposes, and to train generative AI tools. You waive any moral rights you may have in such content to the maximum extent permitted by law.
• ACCEPTABLE USER CONDUCT AND INTERACTIONS
You are solely responsible for your use of the Services and your interactions with other users, third-party protocols, and service providers. By using the Services, you agree that you will not (and will not attempt to):
• Provide false, misleading, or inaccurate information;
• Impersonate any individual or entity, or use another person’s Wallet without proper authorization;
• Interfere with or disrupt the Services or any user’s enjoyment of the Services;
• Bypass security features or access control mechanisms;
• Use unauthorized automated tools (e.g., bots, scrapers) to access or extract data from the Services;
• Use the Services for any unlawful or unauthorized purpose, including but not limited to money laundering, terrorist financing, or market manipulation;
• Engage in deceptive trading practices such as wash trading, front-running, or pump-and-dump schemes;
• Publish or share content that infringes the intellectual property or privacy rights of others;
• Access or attempt to access any Wallet or information you are not authorized to access.
Swipe-to-Trade. The Services may include interface gestures such as "Swipe to Trade" or similar high-sensitivity triggers. These features are designed for user convenience and speed but may initiate immediate, irreversible blockchain transactions through your Wallet. By using such features, you acknowledge and agree that: (i)The transaction may be broadcast to a blockchain network without any additional confirmation prompt; (ii)You are solely responsible for any resulting gas fees, price slippage, failed transactions, or loss of Digital Assets; (iii)HashKey Wallet shall not be held liable for any unintended trades, token transfers, or other actions resulting from your use of such interface features. You may disable such features (where available) through the App's settings. Use of these features constitutes your acceptance of the associated risks.
Connected Content. Some features of the Services may allow third-party integrations that display your publicly available data (“Connected Content”). HashKey Wallet disclaims all liability for any Connected Content, including personal information, that may be obtained or displayed through Third-Party Services in violation of your privacy settings. We do not verify the accuracy, legality, or reliability of any Connected Content and are not responsible for its use or misuse.
Any unauthorized use of the Services or violation of this Section may result in termination of your access and all rights granted under this Agreement. You are fully responsible for your interactions with other users and any external parties, including Third-Party Protocols. HashKey Wallet may, but is not obligated to, monitor disputes between users and assumes no liability for any loss, damage, or claim arising from such interactions.
Platform Oversight and Enforcement. While HashKey Wallet does not generally monitor user activity, we reserve the right—but not the obligation—to monitor or review any activity or content on the Services at any time. If we become aware of conduct or content that may violate this Agreement or applicable law, we may investigate and take appropriate action at our sole discretion, including without limitation removing content, suspending access, or terminating your license to use the Services, with or without notice.
If we believe criminal activity has occurred, we may disclose information—including User Content in our possession—to relevant authorities, subject to applicable law, in order to:
• comply with legal process or governmental requests,
• enforce this Agreement,
• respond to legal claims or your support inquiries, or
• protect the rights, safety, or property of HashKey Wallet, our users, or the public.
If you believe another user is violating this Agreement or engaging in harmful activity, please contact us using the email address provided below.
COMPLIANCE CONTROLS AND ADDRESS SCREENING. While HashKey Wallet is a self-custodial software and does not require full KYC, we reserve the right to implement “Know Your Address” (KYA) and “Know Your Transaction” (KYT) screening on a best-efforts basis. We may preemptively block transactions, issue risk warnings, or restrict your interaction with specific smart contract addresses associated with sanctions, hacks, or illicit activities.
• Referral Program and Incentive Terms
HashKey Wallet may offer users the opportunity to earn incentives (“Incentives”) by referring others to use the Services via a unique referral link (“Referral Link”). Participation in the Referral Program is subject to these Terms, any Additional Referral Terms, and all applicable laws and regulations. The program is void where prohibited.
Eligibility and Incentives. Each eligible Referrer may receive Incentives if a referred individual (“Friend”) accesses the Services through their Referral Link and meets the required conditions. Incentives are typically credited to the Referrer’s Wallet within 30 days after relevant fees are paid, unless otherwise stated. Referrers are solely responsible for any taxes arising from Incentives and agree to indemnify HashKey Wallet against related liabilities.
Use of Referral Links. Referral Links are for personal use only and may not be shared publicly or commercially, including but not limited to coupon sites, blogs, or social platforms (e.g., Twitter). Mass messaging, paid promotion, or automated distribution of Referral Links is strictly prohibited.
Referrers must clearly disclose to Friends that they may receive an Incentive, and obtain their consent before sharing any Referral Link. All statements made about HashKey Wallet must be accurate, reflect the Referrer’s own opinion, and not misrepresent HashKey Wallet’s official views. Referrers may not speak on behalf of HashKey Wallet.
Abuse and Termination. HashKey Wallet reserves the right to investigate referral activity, revoke or withhold Incentives, deactivate Referral Links, or suspend user access if abuse, fraud, or breach of terms is suspected. Inappropriate or offensive content used in connection with Referral Links may also result in disqualification.
Referral Limitations. Each referred user may use only one Referral Link. If multiple are received, only the one used during initial access will be valid for Incentives.
• FEES AND OTHER COST
Payment Providers. We partner with one or more third-party Payment Service Providers to facilitate card payments, onramps, or settlements. You may be required to agree to separate terms with these providers to access certain features. HashKey Wallet is not liable for your inability to use such services or for any fees, validation checks, or declines imposed by your card issuer or Payment Service Provider. In some jurisdictions, such providers may engage subcontractors subject to strict confidentiality and data protection obligations.
Payment Authorization. By submitting your payment details, you authorize HashKey Wallet (as applicable) and/or our Payment Service Providers to charge your applicable payment method or Wallet for all due Fees without further notice. You are responsible for keeping your payment information current. We may update pricing and billing methods at any time. Failure to maintain valid payment details or settle due Fees may result in suspension or termination of access. Except where expressly stated, all payments are non-refundable.
Gas Fees. You are solely responsible for ensuring that your Wallet contains sufficient Digital Assets to cover any Gas Fees incurred when submitting transactions via the Services. Gas Fees are determined by the underlying blockchain protocol and are not set, collected, or controlled by HashKey Wallet.
Taxes. You are solely responsible for determining and fulfilling any tax obligations related to your use of the Services or via the Service, including without limitation income, capital gains, VAT, sales, or other applicable taxes. HashKey Wallet does not provide tax advice and shall not be liable for any tax consequences you may incur. We recommend consulting a qualified tax advisor in your jurisdiction.
Asset Holding and Denomination. Unless expressly stated otherwise, your available balance, including any amounts labeled as “Cash” or similar, may be held in one or more blockchain-based digital assets. These assets are not fiat currency and may fluctuate in value significantly. HashKey Wallet does not custody fiat currency and does not guarantee the value or stability of any digital asset used on the Services.
Fees. You agree to pay all applicable fees (“Fees”) associated with your use of the Services (if applicable), including any transaction-related payments for purchasing, staking, or selling Digital Assets. All Fees are based on the pricing and billing terms in effect at the time of the transaction and will be disclosed within the Services where applicable.
Promotions. From time to time, HashKey Wallet may offer promotions, airdrops, or discounted Fees (“Promotions”, if applicable). All Promotions are subject to eligibility criteria and terms set forth at the time of the offer. HashKey Wallet reserves the right to modify or terminate any Promotion at any time, with or without notice, and has sole discretion in determining your eligibility.
• RISK DISCLOSURES & DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. THE SERVICES AND ANY INFORMATION, CONTENT, OR FEATURES PROVIDED THEREIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
HASHKEY WALLET DISCLAIMS ALL WARRANTIES REGARDING THE FUNCTIONALITY, SECURITY, TIMELINESS, RELIABILITY, OR AVAILABILITY OF THE SERVICES OR ANY THIRD-PARTY CONTENT, PROTOCOL, OR DIGITAL ASSET. HASHKEY WALLET DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT ANY DATA (INCLUDING USER ASSET INFORMATION) IS ACCURATE, COMPLETE, OR UP TO DATE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL DATA BEFORE RELYING ON IT.
HASHKEY WALLET SHALL NOT BE RESPONSIBLE FOR VERIFYING THE OWNERSHIP, VALIDITY, SUITABILITY, OR MARKETABILITY OF ANY DIGITAL ASSET. YOU AGREE THAT HASHKEY WALLET IS NOT LIABLE FOR ANY LOSS, DAMAGE, OR FAILURE RESULTING FROM BLOCKCHAIN INTERRUPTIONS, THIRD-PARTY PROTOCOL FAILURES, OR EVENTS BEYOND OUR CONTROL.
HASHKEY WALLET IS NOT A FINANCIAL OR INVESTMENT ADVISOR AND DOES NOT PROVIDE INVESTMENT OR FINANCIAL ADVICE. NOTHING IN THE SERVICES SHALL BE CONSTRUED AS A RECOMMENDATION TO BUY, SELL, OR HOLD ANY DIGITAL ASSET, NOR DO WE REPRESENT THAT THE SERVICES COMPLY WITH THE SECURITIES LAWS OF ANY JURISDICTION.
YOU ACKNOWLEDGE AND ACCEPT THAT YOUR USE OF BLOCKCHAIN TECHNOLOGIES AND DIGITAL ASSETS INVOLVES SUBSTANTIAL RISK. HASHKEY WALLET PROVIDES TECHNICAL TOOLS ONLY AND DOES NOT CUSTODY, STORE, SEND, OR RECEIVE ANY DIGITAL ASSETS. ALL DIGITAL ASSET TRANSACTIONS OCCUR ON THE RELEVANT BLOCKCHAIN NETWORK, AND HASHKEY WALLET HAS NO CONTROL OVER OR RESPONSIBILITY FOR SUCH TRANSACTIONS. THE PRICES OF DIGITAL ASSETS CAN BE EXTREMELY VOLATILE. HASHKEY WALLET MAKES NO WARRANTIES AS TO THE MARKETS IN WHICH DIGITAL ASSETS ARE TRANSFERRED, PURCHASED, OR TRADED.
NO INFORMATION OR ADVICE PROVIDED BY HASHKEY WALLET OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
CERTAIN FEATURES MAY BE OFFERED AS “BETA” OR EXPERIMENTAL TOOLS FOR TESTING PURPOSES. SUCH FEATURES MAY BE MODIFIED OR REMOVED AT ANY TIME, AND ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND.
Once you initiate a transaction via the Services, it may be delayed, fail, or become unmodifiable due to network congestion, blockchain design, or third-party limitations. HashKey Wallet cannot reverse or assist in altering any transaction after it is submitted via your Wallet.
You are solely responsible for all activity through your Wallet and agree that:
• You have the technical ability and understanding to securely manage and operate your Wallet;
• You assume all risks of unauthorized access, loss of credentials, and exposure to malicious software;
• You understand the volatility, uncertainty, and potential irreversibility of Digital Asset transactions;
• You acknowledge that HashKey Wallet does not guarantee the completion, timing, legality, or success of any transaction or transfer of ownership/title in a Digital Asset.
Blockchain-Specific Risks. You further acknowledge and accept:
• Internet-based currencies carry risks of hardware or software failure, internet disconnection, wallet vulnerabilities, and malicious interference;
• Smart contracts may contain bugs, or be subject to failures that cause certain assets to become inaccessible, untradeable, or lost;
• Counterfeit or mislabeled assets may circulate on third-party protocols without your knowledge or recourse;
• Blockchains may undergo unannounced updates or governance changes that materially alter their function and affect asset value or availability;
• HashKey Wallet is not liable for any hacks, exploits, double spends, or attacks on any blockchain.
Third-Party Tools and Services. The Services rely on protocols, and external infrastructure provided by unaffiliated third parties. HashKey Wallet makes no warranties regarding the security, stability, or availability of any third-party Wallet or protocol, and your interaction with such third parties is at your sole risk. The Services may include integrations with third-party websites, protocols, and tools. HashKey Wallet does not control or endorse these Third-Party Services, and we are not responsible for their content, functionality, accuracy, or any losses or damages arising from your use of them. Once you leave our Services, your use of such third-party tools will be governed solely by their own terms and policies. You acknowledge and agree that your access or use of Third-Party Services is entirely at your own risk.
Regulatory Uncertainty. You acknowledge that the legal and regulatory treatment of Digital Assets is evolving and may vary by jurisdiction. New laws, enforcement actions, or policy shifts may materially affect the Services or your ability to use or benefit from Digital Assets. HashKey Wallet does not guarantee compliance of any asset or transaction with current or future laws.
• INDEMNIFICATION
You agree to indemnify and hold the HashKey Wallet Parties harmless from any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of any and all of the following: (a) your User Content; (b) your use of, or inability to use, any of the Services; (c) your violation of the Agreement; (d) your violation of any rights of another party, including any other users; or (e) your violation of any applicable laws, rules or regulations. HashKey Wallet reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with HashKey Wallet in asserting any available defenses. This provision does not require you to indemnify any of the HashKey Wallet Parties for any unconscionable commercial practice by such party or for such party's fraud, deception, false promise, misrepresentation or concealment, or suppression or omission of any material fact in connection with the Website or any Services provided hereunder. You agree that the provisions in this section will survive any termination of the Agreement and/or your access to the Services.
• LIMITATION OF LIABILITY
DISCLAIMER OF CERTAIN DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HASHKEY WALLET PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, VIRTUAL CURRENCY, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO DAMAGES ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; OR (E) ANY OTHER MATTER RELATING TO THE SERVICES.
CAP ON LIABILITY. EXCEPT AS OTHERWISE REQUIRED BY LAW, THE TOTAL LIABILITY OF HASHKEY WALLET PARTIES FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) FIFTY U.S. DOLLARS (US $50); OR (II) THE AMOUNT ALLOWED UNDER APPLICABLE STATUTE. THIS CAP SHALL NOT APPLY TO LIABILITY RESULTING FROM DEATH, PERSONAL INJURY, OR FRAUD.
EXCLUSION OF CERTAIN JURISDICTIONAL RIGHTS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.
BASIS OF THE BARGAIN. THE LIMITATIONS SET FORTH IN THIS SECTION ARE AN ESSENTIAL PART OF THE AGREEMENT BETWEEN YOU AND HASHKEY WALLET.
• TERM AND TERMINATION
Effective Term. This Agreement begins when you first use or accept the Services and remains in effect until terminated by either party.
Termination by HashKey Wallet. We may suspend or terminate your access to the Services at any time, for any reason, including if we believe you have violated this Agreement. We are not liable for any resulting loss. If suspended, you may still access your Wallet through third-party tools.
Termination by You. You may stop using the Services at any time. You may continue to access your Wallet through third-party providers.
No Re-Access. If we disable your access, you may not attempt to return using a different Wallet or identity. We reserve the right to take enforcement action without notice if you do.
Survival. Provisions that should survive termination — including those related to ownership, disclaimers, and limitations of liability — will remain in effect.
• ARBITRATION AGREEMENT
PLEASE READ THIS SECTION CAREFULLY. IT IS PART OF YOUR CONTRACT WITH HASHKEY WALLET AND AFFECTS YOUR RIGHTS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
Applicability of Arbitration Agreement. Subject to the terms of this Arbitration Agreement, you and HashKey Wallet agree that any dispute, claim, or disagreement arising out of or relating in any way to your access to or use of the Service, any communications you receive, any products sold or distributed through the Service, or this Agreement (including prior versions), will be resolved exclusively through final and binding arbitration administered in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules in force at the time the arbitration is commenced, except that: (i) You and HashKey Wallet may assert claims in small claims court, if such claims qualify and remain in such court; and (ii) You or HashKey Wallet may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). For the purposes of this Arbitration Agreement, “Dispute” shall include disputes that arose or involve facts occurring before the existence of this or any prior version of the Agreement, as well as claims that may arise after the termination of this Agreement.
Place and Language. The seat of arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in English, unless otherwise agreed by the parties.
Appointment and Authority of Arbitrator. The arbitration shall be conducted by a sole arbitrator appointed in accordance with the HKIAC Administered Arbitration Rules in force at the time of the commencement of the arbitration. The arbitrator shall have the authority to determine the scope, validity, and enforceability of this Arbitration Agreement and to grant any relief permitted by applicable law. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
Informal Dispute Resolution. Before initiating arbitration, you and HashKey Wallet agree to first make reasonable efforts to resolve any Dispute informally and in good faith (“Informal Dispute Resolution”). The party initiating the Dispute shall provide written notice to the other party describing the nature and basis of the claim. Within thirty (30) days of receiving such notice, both parties shall engage in an informal dialogue through email, messaging platforms, or any mutually agreed method to attempt to resolve the Dispute. This process shall be a condition precedent to commencing arbitration. The statute of limitations shall be suspended during the period of informal discussions.
CLASS ACTION WAIVER. YOU AND HASHKEY WALLET AGREE THAT ANY DISPUTE SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS PART OF ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRAL TRIBUNAL MAY GRANT RELIEF ONLY TO THE EXTENT NECESSARY TO RESOLVE THE INDIVIDUAL PARTY’S CLAIM, AND SHALL NOT CONSOLIDATE THE CLAIMS OF OTHER USERS. YOU AND HASHKEY WALLET EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. NOTWITHSTANDING THE FOREGOING, THIS PROVISION DOES NOT PREVENT THE PARTIES FROM PARTICIPATING IN A CLASS-WIDE SETTLEMENT, IF MUTUALLY AGREED.
Attorneys’ Fees and Costs. Each party shall bear its own legal fees and costs incurred in the arbitration, unless the arbitral tribunal determines that a party has acted in bad faith or has brought the arbitration for an improper purpose. In such cases, the tribunal may award reasonable fees and costs to the prevailing party.
Severability and Limitation Period. If any part of this Arbitration Agreement is held to be unenforceable under applicable law, the remaining provisions shall remain valid and enforceable. Any Dispute subject to this Arbitration Agreement must be initiated within the applicable statute of limitation period, or it shall be permanently time-barred.
Modification. HashKey Wallet may update this Arbitration Agreement from time to time. Material changes will be communicated to you in a reasonable manner. Your continued use of the Services after any such update constitutes your acceptance of the revised Arbitration Agreement. If you do not agree to the updated Arbitration Agreement, you must stop using the Services.
• GENERAL PROVISIONS
Electronic Communications. By using the Services, you consent to receive communications from HashKey Wallet electronically. All agreements, notices, and disclosures we provide electronically satisfy any legal requirement for written communication.
Notices. All notices or communications to HashKey Wallet under this Agreement shall be delivered via email to: [email protected]. Notices shall be deemed received upon successful transmission, unless delivery failure is notified.
Release. To the fullest extent permitted by law, you release HashKey Wallet Parties from any claims, losses, or damages, known or unknown, arising from your use of the Services or interactions with third parties.
Assignment. You may not transfer or assign this Agreement without our prior written consent. Any unauthorized assignment is void.
Force Majeure. We are not liable for delays or failures resulting from causes beyond our reasonable control, including acts of God, war, cyberattacks, or natural disasters.
Waiver & Severability. Our failure to enforce any part of this Agreement is not a waiver of our rights. If any provision is found unenforceable, the rest remains in effect.
International Use. Access to the Services may not be legal in certain jurisdictions. You are solely responsible for compliance with local laws when accessing the Services.
Export Control. You agree to comply with all applicable export control and sanctions laws related to your use of the Services.
Entire Agreement. This Agreement, along with any Supplemental Terms, constitutes the entire agreement between you and HashKey Wallet regarding the Services and supersedes all prior understandings.
• MOBILE APP ACCESS AND APP STORE TERMS
You acknowledge that the availability of the HashKey Wallet mobile application ("App") depends on the App Store (e.g., Apple App Store or Google Play) from which you downloaded it. This Agreement is between you and HashKey Wallet, not the App Store, and HashKey Wallet is solely responsible for the App and its content.
Your use of the App must comply with the applicable App Store’s terms of service. The App Store is not responsible for support, maintenance, product liability, legal compliance, or any intellectual property claims related to the App. In the event of a third-party claim concerning the App, HashKey Wallet, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of such claims.
You and HashKey Wallet acknowledge and agree that the App Store (and its affiliates) are third-party beneficiaries of this Agreement, and have the right to enforce it against you in connection with your use of any App downloaded via their platforms.
You are also responsible for complying with any third-party terms that apply to your use of the App.
The following terms apply to your access and use of the App.
• DEFINITIONS
"Additional Referral Terms" means any additional terms published in a referral invitation or otherwise associated with any particular Referral Program offer or promotional code.
"Agreement" means this Terms of Use and any Supplemental Terms applicable to your use of the Services, including without limitation Additional Referral Terms.
"App" means the mobile application made available by HashKey Wallet.
"App Store" means the app store from which you downloaded the App and may include the Apple App Store or Google Play Store.
"App Store Sourced App" means an App accessed through or downloaded from the Apple App Store.
"Arbitration Agreement" means the dispute resolution mechanism as defined in Section 11 (Arbitration Agreement).
"Connected Content" means any Content including personal or transactional data, retrieved from or linked to your Wallet.
"Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials.
"Digital Asset" means any cryptocurrency, cryptoasset, NFT, blockchain-based token, or other digital asset supported by the Services.
"Feedback" means any ideas, suggestions, documents, or other submissions you provide to HashKey Wallet via any communication channel.
"Friend" means an individual personally known by a Referrer.
"Gas Fee" means the blockchain network fee required to process a transaction, which is paid directly by you to the applicable validator network and is not controlled, set, or retained by HashKey Wallet.
"HashKey Wallet", "we", or "us" means HashKey Hub Limited, a company incorporated in Hong Kong.
"HashKey Wallet Parties" means HashKey Hub Limited, its parents, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors.
"Incentive" means any benefit that a Referrer may receive as a result of participating in the Referral Program.
"Non-Custodial" means that HashKey Wallet does not hold or have access to your private keys, Wallet credentials, or Digital Assets, and cannot authorize or execute transactions on your behalf.
"OSS" or "Open-Source Software" means any software licensed under terms that comply with the Open Source Definition by the Open Source Initiative (OSI), including but not limited to components integrated into the Services.
"Private Key" means a unique cryptographic key associated with your Wallet, required to authorize transactions or access Digital Assets. HashKey Wallet does not have access to or control over any Private Key used with the Services.
"Referral Link" means a personal link or code used by a Referrer to refer Friends to the Services through the Referral Program.
"Referral Program" means the referral rewards program offered by HashKey Wallet subject to the terms of Section 5 of this Agreement and any Additional Referral Terms.
"Referrer" means a User that participates in the Referral Program.
"Services" means any products and services made available by HashKey Wallet through the Website and the App (and inclusive of the Website and the App).
"Supplemental Terms" means any terms or policies applicable to any products or services offered by HashKey Wallet that are not addressed in these Terms of Use.
"Terms of Use" means this HashKey Wallet Terms of Use Agreement that governs your access to and use of the Services.
"Third-Party Project" means any blockchain-based application, protocol, or token ecosystem not owned, operated, or controlled by HashKey Wallet.
"Third-Party Protocols" means any third-party software systems that enable the transfer, purchase, staking, or exchange of Digital Assets.
"Third-Party Services" means any third-party websites, applications, protocols, blockchains, and advertisements for third parties accessible through or otherwise connected to the Services but not provided by HashKey Wallet, including without limitation Third-Party Protocols, Third-Party Projects and blockchains.
"User Content" means any Content that is made available by Users on or through the Services.
"Wallet" means a locally-generated, non-custodial software-based system for secure storage of cryptocurrency, cryptoassets, and payment information related thereto.
"Website" means the website available at dex.hashkey.com and/or such successor domain as HashKey Wallet may designate, including any associated subdomains.
"You" means the individual or legal entity (including any authorized representatives acting on its behalf), as applicable, that is using or accessing the Services.
